Admittee Partner & Referral Agreement

This Partner & Referral Agreement (“Agreement”) establishes the terms under which individuals or organizations (“Partner,” “you”) may explore a potential partnership or referral relationship with Admittee, LLC (“Admittee”).
By submitting a partner or referral form or engaging in partnership discussions with Admittee, you agree to the terms below.
1. Purpose
The purpose of this Agreement is to allow Admittee and potential Partners to:
Explore partnership or referral opportunities
Share information in confidence
Discuss potential collaboration, referrals, or introductions
This Agreement does not obligate either party to enter into a formal partnership or referral arrangement.
2. Confidentiality
During discussions, Admittee may share non-public information related to its platform, roadmap, pricing, customers, or operations (“Confidential Information”).
You agree to:
Keep Confidential Information private
Use it only for evaluating a potential partnership
Not disclose it to third parties without written consent
Confidentiality obligations survive the end of discussions.
3. Independent Relationship
Partners are independent parties and are not employees, agents, contractors, or representatives of Admittee.
This Agreement does not create exclusivity, joint ventures, or authority to bind Admittee.
4. Referrals & Introductions
Partners may introduce organizations or individuals to Admittee for evaluation as potential customers or collaborators. Any referral or introduction must be:
Genuine and made in good faith
Transparent about the Partner’s role
Respectful of the organization being introduced
Admittee retains sole discretion over whether to engage with any referred party.
5. Referral Recognition & Rewards
In some cases, Admittee may offer referral recognition or financial rewards for qualified introductions that result in active customers. Any referral rewards:
Are determined at Admittee’s discretion
May vary based on the nature of the referral
Will be communicated separately, if applicable
Nothing in this Agreement guarantees compensation.
6. Brand & Representation
Partners may not:
Represent themselves as official employees or agents of Admittee
Use Admittee’s name, logo, or branding publicly without approval
Create marketing materials or accounts implying official partnership
Approved materials may be provided by Admittee if a partnership moves forward.
7. No Obligation
This Agreement does not require:
Admittee to accept referrals
Either party to enter into a formal agreement
Any minimum activity or performance
Either party may discontinue discussions at any time.
8. Termination
Admittee may terminate this Agreement or discussions at any time for any reason.
9. Governing Law
This Agreement is governed by the laws of the State of California.
